Welcome to Vox 9 Studios ("Vox", "we", "us", or "our"). By using our platform at vox9.io, you agree to these Terms of Service. Please read them carefully.

1. The Agreement

1.1 Acceptance

By creating an account and uploading content to Vox, you agree to these Terms of Service, our Privacy Policy, and all applicable laws and regulations.

1.2 Eligibility

You must be at least 18 years old to use Vox as an author. If you're under 18, you may use the platform as a listener but cannot create or upload content.

2. Copyright & Ownership

2.1 Your Content Ownership

• You retain all rights: Copyright, moral rights, and all intellectual property rights remain with you
• You can publish elsewhere: You may publish your content on other platforms simultaneously (Amazon, your website, Patreon, etc.)
• You control your work: You decide what to upload, when to publish, and when to delete

2.2 Your Warranties

By uploading content, you confirm that:

• You are the original author or authorized rights holder
• Your content does not infringe on anyone else's copyright, trademark, or other rights
• You have all necessary permissions for any third-party content included
• Your content does not violate any laws or regulations

2.3 Author Indemnification

You agree to defend, indemnify, and hold harmless Vox 9 Studios, its officers, employees, and agents from any claims, damages, losses, liabilities, settlements, or expenses (including reasonable legal fees) arising out of or related to:

• Your breach of these Terms or your warranties in Section 2.2
• Any content you upload, including but not limited to claims of copyright infringement, trademark infringement, plagiarism, defamation, or violation of any third-party rights
• Your violation of any applicable law or regulation
• Any misrepresentation regarding the originality of your content or your use of AI tools in producing it

This obligation survives termination of your account.

3. License to Vox

3.1 What License You Grant

When you upload content to Vox, you grant us a non-exclusive, worldwide, royalty-free license to:

• Transform: Create AI-generated audio narrations of your written text, and generate transcripts (using AI speech-to-text where the source is audio without an existing transcript) and time-stamped captions of your audio content
• Store: Store your text, generated audio, transcripts, captions, and derived metadata on our servers and with our infrastructure providers (e.g. AWS, Cloudflare R2, Supabase)
• Display: Display your content (text, audio, captions, cover images) on the Vox platform
• Distribute: Deliver your audio content to your subscribers
• Process payments: Handle subscription payments on your behalf through Stripe
• Promote: Use excerpts, thumbnails, captions, and AI-generated short-form audio clips ("Vorts") to promote your content on the platform. All promotional surfaces remain on the platform and link back to your full episode
• Analyse: Generate transcripts, embeddings, and metadata derived from your content for the purposes of: (a) search, discovery, and recommendation features; (b) plagiarism, originality, and copyright-infringement detection; (c) detection of undisclosed AI-generated content; (d) content moderation and safety classification; and (e) quality and engagement analytics shared with you about your own content

These analyses and derivatives are produced and used only on the Vox platform. We do not use your content to train external or third-party AI models, and we do not sell your content or its derivatives to third parties.

3.2 Platform Advertising

To support the platform and help creators reach more listeners, Vox 9 may insert short promotional audio segments and on-screen promo cards into or alongside your episodes. There are three categories, with different treatments:

• House ads: Audio messages and promo cards promoting Vox 9 features (e.g. "Tip this author", "Subscribe to support creators", "Go ad-free"). Vox 9 credits your author balance at a published per-play rate (currently $0.0005 USD per completed play, subject to change with 30 days' notice).
• Cross-promotion: Promo cards or short audio spots highlighting other Vox 9 authors on hub surfaces or within episodes. Treated the same as house ads — credited at the published per-play rate.
• Third-party paid advertising: Not active yet. When paid third-party advertising launches, you will receive 50% of net ad revenue (gross revenue minus payment-processor and ad-network fees) attributed to completed plays on your episodes. You will receive at least 30 days' notice before paid third-party ads activate on your content.

Per-play credits accumulate in your dashboard and pay out alongside subscription and tip earnings via the existing PayPal flow. You may opt out of platform ads at any time via your creator dashboard. Opting out means no platform ads will play on your episodes from that point forward — listeners will hear your content uninterrupted, and no new per-play credits will accrue. Credits already in your balance are not affected; we will not retroactively reduce balances.

3.3 What This License Does NOT Include

• ❌ We cannot sell your content to third parties
• ❌ We cannot claim ownership of your work
• ❌ We cannot prevent you from publishing elsewhere
• ❌ We cannot use your content outside of the Vox platform
• ❌ We cannot transfer this license to anyone else

3.4 License Termination

This license ends immediately when you delete your content or account.

• Delete an episode → We remove it within 48 hours and stop using it
• Delete your account → All your content is removed and all licenses terminate
• We retain the right to keep backup copies for 30 days for technical/legal reasons, but they are not publicly accessible

4. Revenue & Payments

4.1 Revenue Split

You earn 50% of net subscription revenue.

Here's how it works:

1. Subscriber pays monthly subscription ($2.50-$10/month, set by you)
2. Stripe (payment processor) deducts their fee (~2.9% + $0.30)
3. Remaining amount = "net revenue"
4. You receive 50% of net revenue
5. Vox receives 50% of net revenue (to cover AI costs, hosting, platform operation)

Example:

• Fan pays: $5.00/month
• Stripe fee: ~$0.45 (2.9% + $0.30)
• Net revenue: $4.55
• You receive: $2.28 (50%)
• Vox receives: $2.27 (50%)

4.2 Payment Collection

Subscription payments from fans are collected via Stripe, a secure payment processor.

• Fans pay using credit/debit cards through Stripe
• Stripe fees are deducted automatically before revenue calculation
• Your earnings accumulate in your Vox account balance

4.3 Author Withdrawals

Your earnings from fan subscriptions accumulate in your Vox9 account. You can withdraw your funds to PayPal at any time:

• Link your existing PayPal account by adding your PayPal email in account settings
• Minimum withdrawal amount: $10.00 USD
• Request a withdrawal whenever you're ready — there's no schedule, you're in control
• Withdrawal requests are reviewed and processed within 5 business days
• Funds are transferred directly to your PayPal account
• You are responsible for any taxes on your earnings in your jurisdiction

4.4 Refunds

Under the UK Consumer Contracts Regulations 2013, you have a 14-day cooling-off period for digital subscriptions. However, by starting to listen to content immediately, you acknowledge that you lose your right to cancel once content delivery has begun.

• If you haven't accessed any content, you may request a full refund within 14 days of your initial subscription
• After accessing content, subscriptions are non-refundable
• To request a refund, contact support@vox9.io within the refund period

Subscription revenue is calculated after any refunds are processed.

4.5 Fraud Prevention & Financial Compliance

Vox is committed to preventing fraud, money laundering, and other financial crimes. By using our platform, you agree to the following:

Identity Verification (KYC)

• All payment processing is handled by Stripe, which performs identity verification (Know Your Customer) on all connected accounts
• Authors receiving payouts must provide valid identification as required by Stripe
• We may request additional verification if suspicious activity is detected
• False or misleading identity information will result in account termination

Prohibited Financial Activities

• Money Laundering: Using the platform to process, transfer, or disguise funds from illegal sources
• Transaction Laundering: Using subscriptions to transfer money for purposes other than genuine content support
• Structuring: Splitting transactions to avoid reporting thresholds or detection
• Self-Dealing: Subscribing to your own accounts or coordinating fake subscriptions
• Fraudulent Chargebacks: Disputing legitimate transactions after receiving content

Monitoring & Reporting

• We monitor transaction patterns for suspicious activity
• Unusual patterns (sudden large subscriptions, circular payments, etc.) may be flagged for review
• We comply with UK Anti-Money Laundering (AML) regulations under the Proceeds of Crime Act (POCA)
• Suspicious activity may be reported to relevant authorities as required by law
• Accounts involved in suspected financial crimes will be suspended pending investigation

5. Content Guidelines

5.1 Allowed Content

You may upload:

• Original stories, novels, and creative writing
• Non-fiction content you have rights to
• Mature content with violence, horror, strong language (properly labeled as NSFW)
• Romance stories (non-explicit)
• Content in any genre: sci-fi, fantasy, thriller, mystery, horror, romance, literary fiction, and more

5.2 Prohibited Content

You may NOT upload content that:

• ❌ Infringes on others' copyright or intellectual property
• ❌ Fan fiction or derivative works using characters, settings, or intellectual property owned by others without written authorization from the rights holder
• ❌ Contains illegal material or promotes illegal activities
• ❌ Contains child sexual abuse material (zero tolerance)
• ❌ Contains explicit sexual content or pornography (see Section 5.3 for details)
• ❌ Promotes violence, terrorism, or harm to others
• ❌ Contains hate speech or harassment based on protected characteristics
• ❌ Is spam or misleading
• ❌ Promotes self-harm or suicide
• ❌ Contains personal information of others without consent (doxxing)

5.3 Mature Content Policy (NSFW)

Vox allows mature content for adult audiences, but explicitly prohibits sexual content and pornography. Here's what that means:

✅ ALLOWED Mature Content (must be labeled NSFW):

• Violence & Action: Battle scenes, combat, war stories, thriller violence
• Horror & Dark Themes: Scary content, psychological horror, dark fantasy, disturbing themes
• Strong Language: Profanity, swearing, crude humor
• Drug & Alcohol References: Characters using substances (not promotional)
• Mature Themes: Death, grief, trauma, abuse (as story elements, not glorified)
• Crime & Thriller: Murder mysteries, crime fiction, noir
• Romance with Implied Intimacy: Romantic tension, fade-to-black scenes, non-explicit intimacy

❌ PROHIBITED Sexual Content:

• Explicit Sexual Acts: Detailed descriptions of sexual intercourse or sexual acts
• Pornographic Audio: Content created primarily for sexual arousal
• Graphic Sexual Descriptions: Explicit descriptions of genitalia or sexual activity
• Sexual Content Involving Minors: Any sexual content depicting anyone under 18 (zero tolerance)
• Non-Consensual Sexual Content: Rape, sexual assault depicted in explicit detail
• Bestiality: Sexual activity involving humans and animals (real or realistic depictions), or glorification of animal genitalia. Note: Same-species interaction between fictional/mythological creatures (e.g., dragons, werewolves) is not considered bestiality.
• Incest: Sexual activities or romantic relationships between family members, including parents, children, siblings, grandparents, grandchildren, aunts, uncles, nieces, and nephews (whether biological or through adoption/marriage)

NSFW Labeling Requirements:

• All mature content (violence, horror, strong language, etc.) must be labeled with the NSFW tag
• NSFW content should be placed behind subscriber-only access when appropriate
• Failure to properly label mature content may result in content removal
• Content must be legal in the United Kingdom and your jurisdiction

Why this policy? Vox uses Stripe for payment processing, which prohibits platforms from hosting explicit sexual content. This policy ensures we can continue providing payment services to all our authors. We appreciate your understanding.

6. Vox's Rights & Responsibilities

6.1 Content Moderation

We reserve the right to:

• Review reported content
• Remove content that violates these Terms
• Suspend or terminate accounts that violate these Terms
• Cooperate with law enforcement if legally required

6.2 Platform Changes

We may:

• Modify features or functionality
• Change pricing or revenue split with 30 days notice
• Update these Terms (you'll be notified)

6.3 Service Availability

We strive for 99.9% uptime but cannot guarantee uninterrupted service. We are not liable for temporary outages or service interruptions.

6.4 Generation Limits

To protect free credit allocations and maintain a balanced hub experience, we may apply daily limits on AI narration generation, particularly for newer accounts. Current limits are visible in your creator dashboard. Uploads of self-narrated audio are not subject to these limits.

We may adjust these limits at our discretion based on platform usage; reasonable advance notice will be given for any reduction.

7. Copyright Disputes (DMCA)

7.1 Filing a Takedown Notice

If you believe content on Vox9 infringes your copyright, please send a DMCA notice to: dmca@vox9.io

Your notice must include:

• Your name, address, telephone number, and email
• Identification of the copyrighted work claimed to have been infringed
• URL of the infringing content on Vox
• A statement of good faith belief that the use is not authorised by the copyright owner, its agent, or the law
• A statement, under penalty of perjury, that the information is accurate and that you are the copyright owner or authorised to act on behalf of the owner
• Your physical or electronic signature

We will respond to valid DMCA notices within 48 hours.

7.2 Counter-Notice

If you believe your content was removed in error, you may submit a counter-notice to dmca@vox9.io. A valid counter-notice must include:

• Your name, address, telephone number, and email
• Identification of the removed content and the URL where it appeared before removal
• A statement, under penalty of perjury, that you have a good faith belief the content was removed as a result of mistake or misidentification
• A statement that you consent to the jurisdiction of the courts of England and Wales (or, if your address is in the United States, the Federal District Court for the judicial district in which your address is located)
• Your physical or electronic signature

Upon receipt of a valid counter-notice, we will forward a copy to the original complainant. If the original complainant does not notify us within 10–14 business days that they have filed a court action seeking to restrain you from infringing activity, we may restore the content.

7.3 Repeat Infringer Policy

In accordance with 17 U.S.C. § 512(i) and applicable UK law, Vox9 Studios Ltd maintains and enforces a policy of terminating, in appropriate circumstances, the accounts of users who are repeat infringers of copyright or other intellectual property rights.

We track validated infringement claims (DMCA notices that we have reviewed and acted upon, and that have not been successfully counter-noticed) per author. Three or more validated claims within a rolling 12-month period will result in account termination, forfeiture of any pending payouts, and a permanent ban from the platform.

We may also terminate accounts after fewer claims in cases of clear or wilful infringement.

7.4 Misrepresentation Liability

8.1 Your Right to Terminate

You may delete your account at any time. Upon deletion:

• All your content is removed within 48 hours
• Active subscriptions are canceled
• Any earned but unpaid revenue is paid out in the next payment cycle
• All licenses you granted terminate

8.2 Our Right to Terminate

We may suspend or terminate your account if:

• You violate these Terms
• You upload prohibited content
• You engage in fraudulent activity
• We receive valid legal demands

We will provide notice when possible, but may terminate immediately for serious violations.

9. Disclaimers & Limitations

9.1 AI-Generated Content

AI narrations are generated using third-party services (ElevenLabs). While we strive for quality:

• Pronunciation may not always be perfect
• We cannot guarantee 100% accuracy
• You may regenerate narrations if needed

9.2 No Warranties

The platform is provided "AS IS" without warranties of any kind, express or implied. We do not guarantee:

• Uninterrupted service
• Error-free operation
• Specific revenue outcomes
• Subscriber growth

9.3 Limitation of Liability

To the maximum extent permitted by law, Vox is not liable for:

• Lost profits or revenue
• Data loss (though we back up regularly)
• Third-party actions (subscribers, other authors, etc.)
• Indirect or consequential damages

Maximum liability: To the maximum extent permitted by applicable law, our total liability to you for any claim arising out of or relating to these Terms or the Service is limited to the greater of (a) the amount you paid to Vox in the 12 months prior to the claim, or (b) £100.

Statutory rights preserved: Nothing in these Terms limits or excludes liability that cannot be limited or excluded under applicable law, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation. Your statutory rights as a consumer are not affected.

10. Legal Terms

10.1 Governing Law

These Terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

10.2 Dispute Resolution

We hope to resolve any disputes informally first. Please contact support@vox9.io.

If we cannot resolve the matter informally, disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

For EU/EEA consumers: You may also use the EU Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

10.3 Changes to Terms

We may update these Terms from time to time. Material changes will be announced 30 days in advance. Continued use after changes means you accept the new Terms.

10.4 Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Vox.

11. Privacy & Data Protection

11.1 UK GDPR Compliance

Your privacy is important to us. We collect, use, and protect your personal data in compliance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

• We only collect data necessary to operate the platform and provide our services
• Your data is stored securely and is not sold to third parties
• You have the right to access, correct, or delete your personal data at any time
• You have the right to data portability and to restrict or object to processing

11.2 Data We Collect

• Account data: Email address, display name, profile information
• Content data: Text you upload, generated audio, cover images
• Usage data: Listening history, episode progress, interactions (likes, comments, follows)
• Payment data: Processed securely by Stripe — we do not store your card details
• Technical data: IP address, browser type, device information (for security and analytics)

11.3 Data Retention

We retain your data for as long as your account is active. Upon account deletion, your personal data is removed within 48 hours, except where we are required by law to retain records (e.g., financial transaction records for up to 6 years under HMRC requirements).

11.4 International Data Transfers

Your data may be processed outside the UK by our service providers (e.g., AWS, Stripe, Supabase). Where this occurs, we ensure appropriate safeguards are in place, including Standard Contractual Clauses and adequacy decisions as required by UK GDPR.

11.5 Cookies

We use essential cookies to keep you logged in and remember your preferences. We also use analytics cookies with your consent. You can manage your cookie preferences at any time.

12. Age Verification

12.1 General Use

You must be at least 13 years old to create an account and use Vox as a listener. You must be at least 18 years old to create and publish content as an author.

12.2 NSFW Content Access

Content labeled as NSFW (mature themes including violence, horror, strong language) requires age verification:

• You must confirm you are 18 years or older to access NSFW-labeled content
• Age verification is performed via an in-app confirmation prompt
• Parents and guardians are responsible for monitoring minors' access to the platform
• We reserve the right to implement additional age verification measures in the future as required by UK law, including the Online Safety Act 2023
